Ammit Service Business Engagement Terms & Conditions
Ammit Service (hereinafter referred to collectively/individually as “Seller”) is committed to conducting its operations in a professional and ethical manner. Therefore, all business partners, including resellers, customers, suppliers, and service providers (hereinafter referred to as “Business Partner”), are expected to adhere to the highest standards of professional, moral, and ethical conduct, respect all applicable laws, and not engage in any form of unethical business practices. We expect all our Business Partners to conduct business in a manner that upholds the values of Ammit Service.
General Terms and Conditions
These Terms & Conditions are integral to any commercial transaction undertaken with Ammit Service. Any variation to the Terms and Conditions with respect to commercial terms/arrangements (including any special terms and conditions agreed between the parties) shall not be valid unless agreed to in writing by the Seller.
Purchase Orders
- Business Partners shall place Purchase Orders (PO) in written or electronic form (e.g., email). The PO must include:
- Product descriptions, quantities, requested delivery dates, prices, and shipping instructions.
- PO date, payment terms, delivery terms, and authorized signatures.
- Partial deliveries will only be made if explicitly mentioned in the PO.
- Ammit Service will invoice the partner entity specified in the PO. Payments must be made by the same entity.
- Special shipping requirements (e.g., pallet size, labels, or address changes) must be communicated before order execution.
- A Proforma Invoice (P/I) will confirm the delivery and commercial terms.
Delivery Terms
- Unless stated otherwise, delivery terms follow standard INCO terms (Ex-Works).
- Warranty and “Dead on Arrival” claims must be raised directly with the respective OEMs. Ammit Service does not process these claims.
- Business Partners must inspect deliveries for accuracy, quantities, and physical condition. Claims for shortages or damages will not be entertained once delivery is accepted.
- Services such as training provided by OEMs are the sole responsibility of the OEMs. Payment obligations to Ammit Service remain unaffected by OEM delays.
- Business Partners must accept delivery within three (3) working days of notification, irrespective of external delays (e.g., site readiness).
Acceptance of Delivery
Upon delivery, Business Partners or their representatives must sign a proof of delivery. This document serves as conclusive evidence that Ammit Service has fulfilled its obligations.
Price and Payment Terms
- Prices are as agreed in the Proforma Invoice or Purchase Order.
- Applicable taxes (e.g., VAT) will be added to the agreed prices.
- Payments are due immediately unless otherwise agreed in writing.
- Delayed payments may incur penalties, as determined by prevailing inter-bank rates plus 2.5%.
- Payment methods, including Post-Dated Cheques (PDCs), must be agreed upon in advance.
Compliance with Export Controls and Sanctions
- Business Partners must comply with all applicable export control regulations and anti-corruption laws, including the US Foreign Corrupt Practices Act and UK Bribery Act.
- Products must not be used for restricted activities, including the development of weapons of mass destruction.
- Partners are required to notify Ammit Service of any non-compliance or breaches.
Force Majeure
Ammit Service shall not be liable for delays or failures caused by events beyond its reasonable control, including acts of God, war, strikes, or trade restrictions.
Warranty
Warranties for products are governed by the policies of the respective OEMs. Ammit Service is not liable for warranty claims.
Limitation of Liability
Ammit Service shall not be held liable for indirect, incidental, or consequential damages, including loss of revenue or profit.
Governing Law and Jurisdiction
Disputes will be resolved under the jurisdiction of the courts where Ammit Service operates.
Confidentiality
All non-public, confidential information disclosed by Ammit Service must not be shared without prior written authorization.
Binding Agreement
These Terms & Conditions are binding for all Business Partners. Ammit Service reserves the right to amend them and advises Business Partners to review the latest version available on www.ammitservices.com.
Reporting Violations
If any violations are observed, please report them to compliance@ammitservices.com. Such reports will be treated with confidentiality.
